Please read these terms carefully before using YouCommerce. By signing up or using the platform, you agree to be bound by these terms. If you do not agree, do not use the service.

1. Who We Are

YouCommerce is operated by YouCommerce (Pty) Ltd, a private company incorporated in South Africa (Registration Number: 2026/507600/07), with its registered address at 81 Steenoven Street, Bothasig, Cape Town, Western Cape, 7441.

3. The Service

YouCommerce provides Merchants with a white-label e-commerce platform to create branded online shops, service sites, and donation pages. The Platform includes hosting, a merchant admin dashboard, product management, order management, and (where activated) payment processing.

We offer three commercial subscription tiers (Starter, Growth, Pro) and a Cause tier for registered non-profit organisations and public benefit organisations. Features available on each tier are as described on our pricing page at the time of subscription.

We reserve the right to update or change the features included in each tier with 30 days' written notice to active Merchants.


4. Account Registration

To use the Platform, you must provide accurate and complete information during onboarding. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must be at least 18 years old and legally authorised to enter into contracts in South Africa to create a Merchant account.

You agree to notify us immediately at hello@youcommerce.co.za if you suspect any unauthorised access to your account.


5. Subscription Fees and Billing

Subscription fees are charged monthly or annually in South African Rand (ZAR) as per the plan selected at signup. All prices are inclusive of VAT where applicable.

Payment is due at the start of each billing cycle. Failure to pay within 7 days of the due date may result in suspension of your account. Accounts suspended for non-payment for more than 30 days may be terminated and data deleted.

A once-off onboarding fee applies to new Merchants unless waived in writing by YouCommerce at the time of signup.

We reserve the right to adjust subscription pricing with 30 days' written notice. Price changes will not apply to the current billing cycle.


6. Payment Processing

Where card payment processing is activated on a Merchant's store, payments are processed by a third-party payment gateway. Transaction fees charged by the payment gateway are separate from the YouCommerce subscription fee and are the responsibility of the Merchant or their Customers, as disclosed at checkout.

YouCommerce does not store cardholder data. All card transactions are handled directly by the payment gateway in accordance with PCI-DSS requirements.


7. Cancellation and Refunds

You may cancel your subscription at any time by contacting us at hello@youcommerce.co.za. Cancellation takes effect at the end of the current billing period. No refunds are issued for the remaining portion of a billing period.

We may terminate your account immediately and without refund if you breach these Terms, engage in fraudulent activity, or use the Platform in a manner that harms other Merchants or Customers.

9. Intellectual Property

YouCommerce and its underlying software, design, and branding remain the intellectual property of YouCommerce (Pty) Ltd. Your subscription grants you a non-exclusive, non-transferable licence to use the Platform for the duration of your subscription.

All Content you upload to the Platform remains your property. You grant YouCommerce a limited licence to host, display, and deliver your Content solely for the purpose of operating your store.


10. Data Protection and POPIA

YouCommerce processes personal information as a responsible party under POPIA in respect of Merchant data, and as an operator in respect of Customer data collected through Merchant stores.

Merchants are responsible for ensuring their use of Customer data collected through their store complies with POPIA. This includes having a lawful basis for collection, disclosing their own privacy policy to Customers, and honouring data subject rights.

11. Uptime and Service Availability

We aim to maintain high platform availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. YouCommerce is not liable for losses resulting from downtime, data loss, or service interruptions beyond our reasonable control.


12. Limitation of Liability

To the maximum extent permitted by South African law, YouCommerce's total liability to any Merchant shall not exceed the total subscription fees paid by that Merchant in the 3 months preceding the event giving rise to the claim.

YouCommerce is not liable for any indirect, incidental, or consequential losses, including lost revenue or lost data, arising from use of the Platform.

Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded by law.


13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Western Cape High Court, Cape Town, unless both parties agree to an alternative dispute resolution process.


14. Changes to These Terms

We may update these Terms from time to time. We will notify active Merchants by email at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
